The Opportunity
The Director of Legal Services will advise RDV Corporation and its affiliates on a comprehensive range of legal and associated issues focusing on corporate contract review and negotiation, certain investment matters, structuring and negotiation, human resources advisement, real estate and personal property asset transactions, and risk mitigation. This position will be relied upon for sound knowledge and understanding of applicable laws and regulations and the ability to make prudent legal recommendations. The Director of Legal Services will work collaboratively with both internal and external partners to provide best in class service and achieve desired outcomes for the organization and related parties.

Duties and Responsibilities
  • Provides critical and proactive legal recommendations with innovative solutions that strategically drive the organization’s goals forward.
  • Exhibits strong and effective leadership by anticipating and identifying legal issues and providing counsel to executive leaders.
  • Formulates and delivers effective legal strategies and solutions to achieve overall objectives and outcomes for internal clients and Principals.
  • Works collaboratively with internal leaders and external partners to develop alternative and creative ways to best accomplish superior results.
  • Prioritizes and researches incoming issues and concerns.  Follows through by providing sound advice based on existing knowledge, facts and newly acquired information.
  • Crafts internal and external communications regarding legal and sensitive issues for executive leaders. On some matters will work collaboratively with the organization’s Director of Communications.
  • Manages and mitigates legal risks, ensuring the organization’s interests and assets are protected against legal risk and concerns.
  • Drafts, reviews, and negotiates various contracts and agreements for the organization and related entities.
  • Provides ongoing legal oversight of corporate and individual contracts, agreements, and transactions.
  • Uses sound judgement to determine when to engage with expert outside legal counsel. 
  • Communicates with and manages certain external counsel relationships.
  • Serves as the in-house expert and legal counsel related to commercial and residential real estate, including new builds and renovations, as well as various other traditional and alternative asset class purchasing transactions.
  • Develops and maintains close working relationship with leaders of affiliate entities to support real estate and other investment work.
  • Collaborates effectively throughout the organization, and also with related parties, on due diligence to facilitate transactions, coordinate financing and ensuring risk coverage.
  • Participates as a strong contributor of a broader legal team, helping to provide expertise and backup capacity, while also learning and developing individual expertise.
  • Other duties as assigned.
Elements of Success
  • A juris doctor (JD) from a law school approved for accreditation by the American Bar Association, a member in good standing of the Bar of the Supreme Court of the State where practicing law and the eligibility for such license and standing in Michigan.
  • A minimum of 8 years of general legal practice experience.  Experience in Corporate Law, M&A and Real Estate or Asset Management is a plus.
  • History of working within a business where relevant knowledge and experience was gained is a plus.
  • Ability to work in a fast-paced team environment while managing multiple complex matters simultaneously.
  • Employs a strategic and tactical approach to issue resolution.
  • Confident, concise, and clear communicator.  Ability to communicate complex legal issues and risks to colleagues and clients.
  • Superior oral and written communication and presentation skills.
  • Proven strong influential leadership and interpersonal skills, ability to foster team collaboration.
  • Must be highly attentive to detail and possess strong analytical and negotiating skills.
  • Comprehensive knowledge of real estate regulatory and compliance environment.
  • Record of and ability to exercise excellent judgment on behalf of clients.
  • Commitment to the highest ethical and professional standards, personal and professional integrity, and unquestioned discretion in maintaining confidentiality.
