The Opportunity
Ottawa Avenue Private Capital (OAPC), an affiliate of RDV Corporation, is a registered investment advisor with the U.S. Securities and Exchange Commission. OAPC manages an alternative asset portfolio that specializes in private equity, offering clients a single access point to top-tier middle-market Private Equity Sponsors across private equity, private credit, and secondary strategies. The In House Counsel is responsible for providing the day-to-day legal services for the execution of the private equity fund and co-investment portfolio, the execution of Ottawa Avenue third-party capital program, registered investment advisor compliance, and other special projects for both OAPC and RDV Corporation.

Duties and Responsibilities
Private Equity
  • Have “second chair” responsibility to the legal negotiations and due diligence for private equity fund investments and co-investments.
  • In connection with the above, review and, where appropriate, draft documentation for purchases, dispositions, and modifications of investments, including documents such as limited partnership and limited liability company agreements, investment agreements, subscription agreements, NDAs, and side letters.
  • Have “second chair” responsibility for the formation and maintenance of OAPC-sponsored third-party funds.
  • In connection with the above, review and, where appropriate, draft documentation for investors in OAPC-sponsored funds, including documents such as limited partnership agreements, Private Placement Memoranda, subscription agreements, NDAs, and side letters.
  • Have ongoing responsibility in OAPC’s compliance program, and, the legal review of investor reporting and marketing materials.
  • Assist in special projects, compliance, and administrative matters as necessary.

General Responsibilities

  • Review and, where appropriate, draft documentation for family-directed projects and investments.
  • Coordinate with external resources on special projects.

  • Knowledge of current and developing legal issues and trends in area of expertise, domestically and internationally.
  • Uncompromised commitment to highest level of confidentiality in all aspects of job responsibilities.
Education/Experience
  • Juris Doctorate from an accredited law school.
  • Minimum two to four years of in-depth transactional (private equity, fund formation, mergers & acquisitions, or corporate finance) experience.
  • Licensed to practice in Michigan or able to obtain reciprocity in Michigan within a reasonable time.
