The Opportunity
The Compliance and Corporate Governance Paralegal will play a vital part in supporting the company's corporate governance activities and ensuring compliance with state and federal regulations. You will also assist with entity formation and collaborate with both internal counsel and outside law firms on these matters.

What You'll Do
  • Assist in the formation and qualification of domestic and foreign business entities, including preparing and assisting with filing incorporation documents, drafting operating agreements, maintaining entity formation records, and working in close collaboration with tax and financial professionals.
  • Monitor and maintain regulatory compliance calendars, ensuring timely filings with state and federal agencies and timely communication with tax and financial professionals.
  • Draft and edit legal documents related to entity formation and corporate governance, following attorney instructions.
  • Work collaboratively with outside law firms on entity formation and corporate governance projects.
  • Work collaboratively with internal tax and financial colleagues across projects to ensure timely compliance reporting and information sharing.
  • Manage deadlines effectively and prioritize tasks in a fast-paced environment.
  • Handle multiple priorities and deadlines with exemplary follow through and confidentiality.
  • Exhibit foresight and initiative in recognizing potential problems, needs and/or inefficiencies, and pro-actively proposes alternative, creative, and innovative ways to best accomplish superior outcomes.
  • Provide project support and coordination for a variety of projects related to legal matters and otherwise, including research, planning, reporting, creating timelines, tracking, follow up, and in some cases project leadership.
  • Organize and accurately maintain files, facilitate items that require approval/signature, and manage data.
  • Support corporate governance activities.
  • Assist with special projects as assigned.

What You'll Bring
  • Bachelor’s degree or associate’s degree and a significant amount of professional experience (e.g., eight or more years) as a corporate-focused paralegal or similar role with entity formation and management experience.
  • Strong understanding of corporate formation, governance, and compliance principles and best practices.
  • Proven experience with entity formation processes, entity management, and corporate recordkeeping.
  • Experienced working alongside attorneys.
  • Experience with real estate would be helpful but is not required.
  • Familiarity with common legal terms and documents.
  • Excellent writing and communication skills.
  • Demonstrated excellent interpersonal and communication skills, both written and oral with the ability to interface with a diverse array of audiences and stakeholders.
  • Strong judgment and comfort-level working with confidential, sensitive, and proprietary information, as well as an uncompromised commitment to the highest level of confidentiality.
  • Ability to get along with diverse personalities and a desire to work in a cross-functional team environment.
  • Must demonstrate a high degree of integrity, ethics, discretion, and dedication to the mission of the organization.
  • Demonstrated proficiency in Microsoft Word, Outlook, Excel, and PowerPoint.
